According to the announcement published in Al-Ahram and Al-Mal newspapers on October 19, 2026, purchase orders for both tranches will be received and registered from October 19. The private offering runs until October 23, while the public offering runs until the end of the day on October 28, 2026.

Details of the Banque du Caire share offering on the Egyptian Exchange

The offering is split into two tranches: a private offering for high-net-worth investors and financial institutions, and a public offering, each subject to its own rules and prices.

First: the private offering

The first tranche, the private offering, comprises up to 4.34625 billion shares, representing 95% of the total shares offered and 28.5% of Banque du Caire's total issued share capital.

The main terms of the private offering are:

  • Number of shares: up to 4.34625 billion.

  • Share of the offering: 95% of the total offering, equivalent to 28.5% of the bank's total issued share capital.

  • Share price: between a minimum of EGP 4.82 and a maximum of EGP 5.30.

  • Minimum purchase for high-net-worth individuals: purchase orders worth at least EGP 5 million.

  • Minimum purchase for financial institutions: purchase orders worth at least EGP 10 million.

  • Order period: October 19 to October 23, 2026.

According to the announcement, purchase orders are subject to restrictions designed to prevent any single investor from owning as much as 10% of Banque du Caire's total issued share capital.

Second: the public offering

The second tranche, the public offering, comprises up to 228.75 million shares, representing 5% of the total shares offered and 1.5% of the bank's total issued share capital.

The main details of the public offering are:

  • Number of shares: up to 228.75 million.

  • Share of the offering: 5% of the total offering, equivalent to 1.5% of the bank's total issued share capital.

  • Indicative share price: EGP 5.30.

  • Minimum purchase: 100 shares.

  • Maximum purchase per investor: the number of shares offered in the public tranche.

  • Order period: October 19 until the end of the day on October 28, 2026.

The Egyptian Exchange said the final offer price for Banque du Caire shares will be set after the private offering closes, using the book-building method (Book Building), and announced in the newspapers and on the exchange's screens no later than Monday, October 26, 2026.

The public offering price of EGP 5.30 per share is therefore indicative until the final price is announced based on the results of the private offering's book-building process.

The Egyptian Exchange required the brokerage firms receiving orders to deposit at least 25% of the value of each order in the account designated for covering the public offering at the clearing banks, according to the orders registered through the over-the-counter private transactions market (OPR).

The exchange set a deadline of before the end of business hours on Wednesday, October 28, 2026, for depositing this percentage, based on the final price resulting from the private offering's book-building process.

Brokerage firms must also pay the remaining value of orders according to the final price and the allocation result, if the value of the allocated shares exceeds the amounts already paid at the clearing banks. This will follow the settlement system applied by Misr for Central Clearing, Depository and Registry (MCDR), no later than the day after the order book closes and coverage is announced.

The Egyptian Exchange urged investors to review the offering prospectus published in Al-Ahram and Al-Mal on October 19, 2026, and the announcement posted on the exchange's screens on October 18, 2026, for full details, particularly Section Five on the offering's terms and conditions.
